1. Service Description

AUX Fulfillment ("the Service") is a multi-merchant SaaS platform operated by Ahsen Supply GmbH ("we", "us") that provides order management, inventory synchronization, shipment automation, and storefront tooling for e-commerce sellers. The Service integrates with third-party marketplaces (Amazon, eBay, Otto) and shipping carriers (DHL, Hermes, UPS, FedEx).

2. Eligibility and Account Registration

To use the Service, you must:

• Be at least 18 years of age and have legal capacity to enter contracts.
• Be acting in the course of a business or commercial activity (B2B service).
• Provide accurate, current, and complete information during registration.
• Maintain the confidentiality of your account credentials.

You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree NOT to:

• Use the Service for any illegal, fraudulent, or harmful purpose.
• Reverse engineer, decompile, or attempt to extract source code.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt unauthorized access to other accounts, systems, or networks.
• Use the Service to violate any marketplace's (Amazon, eBay, Otto) terms of service.
• Resell or sublicense access to the Service without our written consent.

4. Subscription and Billing

The Service is provided on a subscription basis. Pricing tiers and billing cycles are displayed at signup. Subscription fees are billed in advance, non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5. Marketplace Credentials

When connecting a marketplace account (Amazon, eBay, Otto), you grant us delegated access to perform actions on your behalf (read orders, update inventory, generate shipping labels). You may revoke this access at any time through your account settings or directly through the marketplace. We store OAuth refresh tokens encrypted; we never store marketplace passwords.

6. Data Ownership

You retain ownership of all data you upload or import into the Service ("Customer Data"). You grant us a limited license to process Customer Data solely for the purpose of providing the Service. We do not sell or share Customer Data with third parties for marketing purposes.

7. Service Availability

We aim for 99.5% monthly uptime but do not guarantee uninterrupted Service. Scheduled maintenance windows will be announced at least 48 hours in advance. We are not liable for downtime caused by third-party providers (marketplaces, carriers, hosting).

8. Intellectual Property

The Service, including all software, designs, and trademarks, is owned by Ahsen Supply GmbH or its licensors. You receive only a non-exclusive, non-transferable, revocable license to use the Service during your active subscription.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, revenue, or data. Our total liability for direct damages is limited to the subscription fees paid by you in the 12 months preceding the claim. This limitation does not apply to liability for gross negligence, willful misconduct, or injury to life or health.

10. Indemnification

You agree to indemnify and hold harmless Ahsen Supply GmbH from any claims arising out of your violation of these Terms, your Customer Data, or your use of the Service in violation of applicable laws or marketplace policies.

11. Termination

Either party may terminate the agreement with 30 days written notice. We may suspend or terminate immediately for material breach (non-payment, violation of Acceptable Use, fraud). Upon termination, you may export your data within 30 days; after that, data is deleted (except where legal retention applies).

12. Changes to Terms

We may update these Terms. Material changes will be communicated by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. Exclusive jurisdiction lies with the competent courts of Augsburg, Germany, where Ahsen Supply GmbH has its registered office. For B2B contracts, this jurisdiction clause is valid; for consumers (B2C, exceptional), statutory consumer protection applies.

1. Leistungsbeschreibung

AUX Fulfillment („der Dienst") ist eine SaaS-Plattform der Ahsen Supply GmbH („wir") und bietet Auftragsverwaltung, Bestandssynchronisation, Versandautomatisierung und Storefront-Tools für E-Commerce-Händler. Der Dienst integriert sich mit Drittanbieter-Marktplätzen (Amazon, eBay, Otto) und Versanddienstleistern (DHL, Hermes, UPS, FedEx).

2. Voraussetzungen und Registrierung

• Mindestalter 18 Jahre, geschäftsfähig.
• Handeln im Rahmen einer gewerblichen Tätigkeit (B2B-Dienst).
• Wahrheitsgemäße und vollständige Angaben.
• Vertraulichkeit der Zugangsdaten.

3. Zulässige Nutzung

Untersagt ist insbesondere:

• Rechtswidrige oder betrügerische Nutzung.
• Reverse Engineering oder Versuch, Quellcode zu extrahieren.
• Beeinträchtigung der Service-Integrität.
• Unbefugter Zugriff auf andere Konten oder Systeme.
• Verstoß gegen Marktplatz-AGB (Amazon, eBay, Otto).
• Weiterverkauf oder Unterlizenzierung ohne schriftliche Zustimmung.

4. Abonnement und Abrechnung

Der Dienst wird als Abonnement angeboten. Preise und Abrechnungszeiträume sind bei der Anmeldung einsehbar. Gebühren werden im Voraus berechnet, eine Rückerstattung erfolgt nur bei gesetzlichem Anspruch. Kündigung jederzeit möglich, wirksam zum Ende des laufenden Abrechnungszeitraums.

5. Marketplace-Zugangsdaten

Durch das Verknüpfen eines Marketplace-Kontos erteilen Sie uns delegierten Zugriff (Bestellungen lesen, Bestand aktualisieren, Versandetiketten erstellen). Der Zugriff kann jederzeit über die Konto-Einstellungen oder direkt beim Marktplatz widerrufen werden. Wir speichern OAuth-Refresh-Tokens verschlüsselt; Marketplace-Passwörter werden nicht gespeichert.

6. Dateneigentum

Sie behalten das Eigentum an allen hochgeladenen Daten („Kundendaten"). Sie erteilen uns eine eingeschränkte Lizenz zur Verarbeitung ausschließlich zum Zweck der Diensterbringung. Wir verkaufen oder teilen Kundendaten nicht zu Marketingzwecken.

7. Verfügbarkeit

Wir streben eine monatliche Verfügbarkeit von 99,5% an, garantieren jedoch keine unterbrechungsfreie Nutzung. Geplante Wartungen werden mindestens 48 Stunden vorher angekündigt. Wir haften nicht für Ausfälle durch Drittanbieter.

8. Geistiges Eigentum

Der Dienst, einschließlich Software, Designs und Marken, ist Eigentum der Ahsen Supply GmbH oder ihrer Lizenzgeber. Sie erhalten eine nicht-exklusive, nicht übertragbare, widerrufbare Lizenz zur Nutzung während der aktiven Abonnementlaufzeit.

9. Haftungsbeschränkung

Soweit gesetzlich zulässig, haften wir nicht für indirekte, mittelbare, Folge- oder Strafschäden. Unsere Gesamthaftung für direkte Schäden ist auf die in den letzten 12 Monaten gezahlten Abonnementgebühren begrenzt. Diese Beschränkung gilt nicht bei grober Fahrlässigkeit, Vorsatz, Verletzung von Leben oder Gesundheit.

10. Freistellung

Sie stellen Ahsen Supply GmbH von Ansprüchen frei, die aus Ihrem Verstoß gegen diese AGB, Ihren Kundendaten oder rechtswidriger Nutzung resultieren.

11. Kündigung

Beide Parteien können mit einer Frist von 30 Tagen schriftlich kündigen. Wir können bei wesentlichem Verstoß (Zahlungsverzug, missbräuchliche Nutzung, Betrug) sofort kündigen. Datenexport innerhalb von 30 Tagen nach Kündigung möglich; danach Löschung (außer bei gesetzlicher Aufbewahrungspflicht).

12. Änderungen

Wesentliche Änderungen werden mindestens 30 Tage vorher per E-Mail mitgeteilt. Fortgesetzte Nutzung nach Inkrafttreten gilt als Zustimmung.

13. Anwendbares Recht und Gerichtsstand

Es gilt deutsches Recht. Ausschließlicher Gerichtsstand ist Augsburg, Deutschland. Für B2B-Verträge gilt dies uneingeschränkt; bei Verbrauchern gelten zwingende Verbraucherschutzregeln.

Hizmet, üçüncü taraf pazaryerleri (Amazon, eBay, Otto) ve kargo firmalarıyla (DHL, Hermes, UPS, FedEx) entegre çalışır.

2. Hak ve Kayıt

• 18 yaşını doldurmuş, sözleşme ehliyetine sahip olmak.
• Ticari faaliyet kapsamında hareket etmek (B2B hizmet).
• Doğru ve eksiksiz bilgi vermek.
• Hesap bilgilerinin gizliliğini korumak.

3. Kabul Edilebilir Kullanım

• Yasa dışı veya hileli kullanım yasak.
• Tersine mühendislik ve kaynak kodu çıkarmaya çalışmak yasak.
• Hizmet bütünlüğüne müdahale yasak.
• Başka hesaplara/sistemlere yetkisiz erişim yasak.
• Pazaryeri kullanım şartlarını ihlal yasak.
• Yazılı izin olmadan yeniden satış/alt lisanslama yasak.

4. Abonelik ve Fatura

Hizmet abonelik bazlıdır. Fiyatlandırma kayıt sırasında gösterilir. Ücretler peşin tahsil edilir; yasa gerektirmedikçe iade yapılmaz. İptal her zaman mümkün, mevcut dönem sonunda etkili olur.

5. Pazaryeri Kimlik Bilgileri

Bir pazaryeri hesabı bağlandığında, sizin adınıza işlem yapma yetkisi (sipariş okuma, stok güncelleme, etiket oluşturma) verirsiniz. Bu yetkiyi istediğiniz zaman geri çekebilirsiniz. OAuth refresh token'lar şifreli saklanır; pazaryeri şifreniz hiçbir zaman saklanmaz.

6. Veri Mülkiyeti

Yüklediğiniz tüm veriler ("Müşteri Verisi") sizin mülkiyetindedir. Bize sadece hizmeti sağlama amacıyla işleme lisansı verirsiniz. Veriyi pazarlama amaçlı satmaz veya paylaşmayız.

7. Erişilebilirlik

%99,5 aylık uptime hedefimizdir; kesintisiz hizmet garanti edilmez. Planlı bakımlar en az 48 saat önceden duyurulur. Üçüncü taraf kesintilerinden (pazaryerleri, kargo, hosting) sorumlu değiliz.

8. Fikri Mülkiyet

Hizmet (yazılım, tasarım, marka) Ahsen Supply GmbH veya lisans verenlerine aittir. Aktif abonelik süresince size münhasır olmayan, devredilemez kullanım lisansı verilir.

9. Sorumluluk Sınırı

Yasanın izin verdiği azami ölçüde, dolaylı, arızi, sonuçsal zararlardan sorumlu değiliz. Doğrudan zararlardaki toplam sorumluluğumuz son 12 aydaki ödediğiniz abonelik bedeli ile sınırlıdır. Ağır ihmal, kasıt, yaşam ve sağlık ihlali bu sınıra dahil değildir.

10. Tazminat

Bu şartların ihlali, Müşteri Veriniz veya hizmetin yasalara aykırı kullanımından doğacak taleplerden bizi tazmin edersiniz.

11. Fesih

Her iki taraf 30 gün önceden yazılı bildirim ile feshedebilir. Esaslı ihlal (ödeme gecikmesi, kötü kullanım, dolandırıcılık) durumunda derhal fesih hakkımız vardır. Fesih sonrası 30 gün veri export hakkı; sonra silinir (yasal saklama hariç).

12. Değişiklikler

Önemli değişiklikler yürürlükten en az 30 gün önce e-posta ile bildirilir. Yürürlük sonrası kullanım kabul anlamına gelir.

13. Geçerli Hukuk ve Yetkili Mahkeme

Almanya Federal Cumhuriyeti hukuku geçerlidir. Münhasır yetkili mahkeme Augsburg, Almanya. B2B sözleşmeler için bu yetki sınırsız geçerlidir; tüketicilerde zorunlu koruma kuralları uygulanır.
